Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Norventis platform and website (the “Service”), operated by Norventis (“Norventis,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a school district or other organization, you represent that you have authority to bind that organization. Where Norventis and a district have signed a separate written subscription or services agreement, that agreement governs and controls over any conflicting term here.

1. Eligibility and accounts

• The Service is intended for authorized personnel of subscribing school districts and approved evaluators. Accounts are created by Norventis or a district administrator; self-registration is not available.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at admin@norventis.ai of any unauthorized use.
• You must provide accurate information and keep it current.

2. Acceptable use

You agree not to:

• Access the Service without authorization, or attempt to probe, scan, or breach security or authentication measures;
• Use the Service to violate any law or third-party right, or to upload unlawful, infringing, or malicious content;
• Reverse engineer, copy, resell, or create derivative works from the Service except as permitted by law;
• Interfere with or disrupt the integrity or performance of the Service, or use automated means to scrape or overload it;
• Misrepresent your identity or affiliation.

3. Customer data and ownership

As between the parties, a district retains all rights to the data it provides (“Customer Data”). You grant Norventis a limited license to host, process, and use Customer Data solely to provide and improve the Service and as described in our Privacy Policy and any applicable district agreement. We may use aggregated and de-identified data (that does not identify any individual or, where applicable, any single district) for benchmarking, research, and product improvement.

4. Intellectual property

The Service, including its software, design, text, graphics, and the Norventis name and logo, is owned by Norventis and protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you.

5. Third-party data and services

The Service incorporates public datasets (e.g., state and federal education data) and third-party services (e.g., hosting and mapping providers). We do not warrant the accuracy or completeness of third-party or public data, and such data is provided subject to its own terms and licenses.

6. No professional advice

The Service provides analytics and visualizations to support decision-making. It does not constitute financial, legal, accounting, investment, or other professional advice. You are responsible for independently verifying outputs and for decisions you make. Norventis is not liable for decisions made in reliance on the Service.

7. Service availability

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, perform maintenance, or impose usage limits. Specific availability commitments, if any, are set out in a separate written agreement.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NORVENTIS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA OR RESULTS WILL BE ACCURATE OR RELIABLE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORVENTIS AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. NORVENTIS’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID TO NORVENTIS FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Norventis from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service or violation of these Terms. (Public entities’ obligations are subject to applicable law and any signed agreement.)

11. Termination

We may suspend or terminate access for violation of these Terms or to protect the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination (including Sections 3, 4, 6, 8, 9, 10, and 12) will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. The state and federal courts located in Franklin County, Ohio will have exclusive jurisdiction over disputes, and you consent to their jurisdiction and venue, except where a signed district agreement provides otherwise or applicable law requires a different forum for a public entity.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
